Terms of Use
These terms govern access to ProspectLayer, its websites, workspaces, app ecosystem, billing flows, subscriptions, one-time purchases, and related platform services.
1. Acceptance of these terms
By accessing or using ProspectLayer, you agree to these Terms of Use and any related platform policies referenced by them.
If you are using the platform on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.
2. What ProspectLayer is
ProspectLayer is a product platform that may include lead intelligence, business discovery, enrichment, verification, exports, APIs, automation, billing, developer tools, a public apps experience, an authenticated app store, and installable apps within workspaces.
Some features are provided by the core ProspectLayer app, while others may be provided by approved platform apps or related services.
3. Accounts, users, and workspaces
Access to certain parts of the platform requires an account. You are responsible for maintaining the confidentiality of your credentials and for activity that occurs under your account.
Workspaces are organisational environments where apps, settings, billing, users, data, and subscriptions may be managed.
Workspace owners and authorised administrators are responsible for adding, removing, and managing users and permissions within their workspace.
4. App installation and workspace licensing
Apps are installed into a specific workspace. A purchase, subscription, or entitlement granted for one workspace does not automatically apply to another workspace unless explicitly stated otherwise.
If you want to use an app in an additional workspace, a separate purchase, subscription, or licence may be required for that additional workspace.
Some apps may have tiered access, usage limits, seat limits, storage limits, feature gating, or workspace-specific pricing.
5. Fees, subscriptions, and payments
ProspectLayer may offer both recurring subscriptions and one-time purchases for workspace services, app access, storage, usage, or other platform features.
For customers in Nigeria, payments may be processed in naira through supported gateways such as Paystack or Flutterwave.
For customers in the United States and other supported regions, payments may be processed through Stripe or other supported processors.
Payment methods, supported currencies, tax handling, billing cadence, and processor availability may vary by geography, product, workspace, or app.
6. Consolidated workspace subscription model
ProspectLayer may use a consolidated app container model for workspaces. Under this model, a workspace may have a main billing cycle, and newly added app subscriptions may be aligned to that cycle.
When an additional subscription app is added to an existing subscribed workspace, ProspectLayer may apply a prorated charge for the remainder of the current billing period.
At the next billing cycle, the workspace may then be charged the full renewal amount reflecting the workspace subscription state and the active subscribed apps associated with that workspace.
One-time app purchases, where offered, are billed separately and do not automatically convert into recurring subscriptions unless clearly stated.
7. Storage, usage, and limits
Certain workspace plans, apps, or services may be subject to storage quotas, data retention limits, usage caps, export limits, API limits, seat limits, or other operational thresholds.
Where charges are tied to storage, usage, or plan tier, you are responsible for the applicable fees associated with your selected service level and actual usage.
8. Developer and third-party apps
ProspectLayer may support a developer ecosystem in which approved apps are listed for installation through the platform.
Apps may be developed by ProspectLayer, affiliated entities, partners, or third-party developers. Availability in the store does not mean every app is owned by ProspectLayer unless expressly stated.
ProspectLayer may review, approve, suspend, remove, or restrict apps from the ecosystem at its discretion, including for security, policy, quality, billing, abuse, or compatibility reasons.
9. Acceptable use
You may not use ProspectLayer in a way that violates law, infringes rights, disrupts the platform, circumvents billing or security controls, abuses integrations, or harms other users or third parties.
You may not attempt to reverse engineer protected services, bypass access controls, interfere with platform integrity, scrape restricted content without permission, or use the system for fraud, spam, or unlawful activity.
10. Customer data and responsibility
You remain responsible for the data, content, prompts, records, files, and operational actions initiated within your workspace or by your users.
You are responsible for ensuring that your collection, use, export, enrichment, or processing of data complies with applicable laws, contracts, and internal policies.
11. Availability and changes
ProspectLayer may update, improve, suspend, remove, or reconfigure features, apps, integrations, plans, pricing, limits, or billing structures over time.
We do not guarantee uninterrupted availability of every service, integration, app, or region-specific payment method at all times.
12. Suspension and termination
We may suspend or terminate access to part or all of the platform for breach of these terms, non-payment, abuse, security risk, suspected fraud, legal compliance reasons, or operational necessity.
You may stop using the platform at any time, but fees already incurred are generally non-refundable unless required by law or expressly stated otherwise.
13. Disclaimers
Except as expressly stated, ProspectLayer is provided on an “as is” and “as available” basis. We do not guarantee that every result, enrichment, signal, verification outcome, app, or integration will be complete, accurate, or uninterrupted in all cases.
Business, billing, and operational outcomes depend on many factors outside the platform itself, including user configuration, data quality, third-party services, payment processor performance, and regional restrictions.
14. Limitation of liability
To the maximum extent permitted by law, ProspectLayer and related parties will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from use of the platform.
To the maximum extent permitted by law, aggregate liability relating to the platform will be limited to the amounts paid by you for the relevant service during the applicable period preceding the claim.
15. Changes to these terms
We may update these terms from time to time. Updated terms become effective when posted unless a later effective date is stated.
Your continued use of ProspectLayer after updated terms are posted constitutes acceptance of the revised terms.
